Terms and conditions of sale and use

1. Purpose

These Terms and conditions of sale and use, hereinafter the “General Conditions”, define the terms of ordering, payment, access and use of the services offered by:

These General Conditions apply to the following services:

SaaS software PoliceScan ;
the online training platform Valoryn Académie ;
the application SynchronIA, according to the conditions specified in article 39;
subscriptions, options, content and additional services marketed by Valoryn.

Certain provisions are common to all services. Others apply only to PoliceScan, Valoryn Académie, or SynchronIA. The conditions of presentation of SynchronIA are specified in article 39.

2. Acceptance of the General Conditions

Creating an account, subscribing to a subscription, purchasing training or using an Valoryn service implies full acceptance of these General Conditions.

The customer declares:

having read these General Conditions before ordering;
have the necessary legal capacity to contract;
provide accurate and up-to-date information;
use the Services in accordance with applicable law;
respect the intellectual property rights of Valoryn.

The applicable General Conditions are those in force on the date of the order, subscription or renewal concerned.

3. Public concerned

PoliceScan is intended for professionals carrying out an activity of purchasing, reselling, managing second-hand goods or collectibles.

The training courses offered by Valoryn Académie can be purchased:

by professionals;
by entrepreneurs or future entrepreneurs;
by natural persons acting in a non-professional capacity, when the training concerned is accessible to them.

Certain training courses may be reserved for a professional audience when this is specified on their presentation page.

4. Account creation and security

Access to certain services requires the creation of a personal account.

The account holder undertakes to:

provide accurate information;
keep your identifiers confidential;
choose a sufficiently secure password;
not share access with an unauthorized person;
promptly report any suspicious access or fraudulent use.

The account is personal. It cannot be sold, transferred, rented or shared, except with the express authorization of Valoryn or an offer intended for several users.

Valoryn may request reasonable verification of the identity or professional activity of the holder when it is necessary for security or use of the service.

PART 1 — SPECIAL CONDITIONS POLICESCAN

5. Presentation of PoliceScan

PoliceScan is a SaaS solution intended for purchasing and resale professionals.

It notably offers tools allowing:

maintaining a digital police register;
detection and assisted capture of objects;
management of acquisitions and sellers;
inventory management;
sales management;
monitoring and calculation of VAT data;
stock transformation;
generation of purchase receipts;
the generation of vouchers;
the generation of exports and documents;
activity monitoring;
the preparation or transmission of articles to certain stores or third-party platforms.

PoliceScan constitutes a management assistance tool. Its use does not exempt the user from verifying and respecting their legal, tax, administrative, accounting and professional obligations.

6. Main Features

Depending on the version of PoliceScan, the package subscribed and the features available, the user can benefit from:

management of the police register;
manual or artificial intelligence-assisted entry;
purchasing management;
management of professional and individual sellers;
inventory management;
sales management;
management of stock transformations;
generation of PDF purchase receipts;
generation of PDF vouchers;
the generation of PDF or Excel exports;
access to a dashboard;
data backup;
updates;
technical support.

The exact characteristics of each offer are those displayed in PoliceScan or on the Valoryn site at the time of subscription.

7. Available features and functionalities
development

Certain features may be offered gradually, in test version or still in development.

As of the date of publication of these General Conditions:

WooCommerce draft creation may be available depending on the version used;
eBay integration is under development or finalization;
automatic and multi-channel inventory synchronization may be under development.

Valoryn does not present as definitively available a feature indicated as experimental, in development, in beta or soon available.

8. Offers and prices PoliceScan

Plans are offered at the monthly prices above, with corresponding scan quota. Connected store options are invoiced separately according to article 9. The total price, applicable taxes, frequency, functionalities and termination conditions are presented before any subscription. A modification of the grid does not retroactively modify an order already concluded or the rights acquired.

9. Connected stores

For PoliceScan, each connected store is offered as an option at €9.99 per month per store, in addition to the chosen package. The cost of the stores corresponds to the number of stores subscribed multiplied by €9.99 per month; the total is presented before validation. No volume discount is announced by this grid.

Fees and commissions charged directly by third-party platforms remain separate. Only integrations that are actually available and authorized can be used. Platforms can modify their APIs and access conditions. This PoliceScan connection rate does not automatically apply to SynchronIA.

10. PoliceScan scan quota

The volumes of the PoliceScan packages presented in article 8 are expressed in scans per month: 200, 450, 1,000 or 2,500 depending on the package. The number of scans is not the same as the number of objects present in a batch or with all the calls to artificial intelligence. The creation of a receipt, a purchase voucher or an export does not, in itself, constitute a new scan. The counting rules are presented in the service and must remain consistent with the subscribed offer.

11. Functions assisted by artificial intelligence

The counter of articles or objects does not constitute a counter of all calls to artificial intelligence.

LILI is included in the subscription without counting the line quota. A separate scan quota or additional billing may only apply if expressly presented and accepted in the respective offer. No supplement is created by the sole use of an AI function in the absence of such information and acceptance.

The user must verify the results before validation, including identification, status, amounts, references and descriptions. AI may produce inaccurate results. It does not replace the verification of documents or appropriate legal, tax or accounting advice.

12. Resetting and exceeding quotas

Quotas are reset on the subscription renewal date.

Unused volumes:

cannot be combined;
are not transferable;
are non-refundable;
are not carried over to the next period.

When the quota is reached, PoliceScan can:

temporarily prevent new objects from being saved;
suspend new AI analyses;
offer a higher package;
offer additional volume when such an option exists.

No excess will give rise to automatic additional billing without prior information or validation from the user.

Data already recorded remains normally viewable, unless the account is suspended for another reason provided for in these General Conditions.

13. Obligations of the user PoliceScan

The user remains responsible:

information that it enters or imports;
the accuracy of information relating to sellers;
the validity of the supporting documents and documents kept;
verification of results generated by artificial intelligence;
of the identification and state of objects;
of the purchase and sale prices provided;
tax and accounting rules applied;
of its tax and accounting declarations;
compliance with its obligations relating to the police register;
of the content of the advertisements created or transmitted;
compliance with the conditions of third-party platforms.

PoliceScan is not a substitute for a lawyer, accountant, tax authorities or any other regulated professional.

14. Data saved in PoliceScan

For account, subscription and service security data, Valoryn acts as data controller.

For data relating to sellers, customers, purchases and identity documents entered by the professional user, the latter generally determines the purposes of the collection. Valoryn then technically processes this information on its behalf as part of the provision of the software.

In terms of data protection, the qualification of data controller or processor depends on the concrete role of each party. A processor processes data on behalf of and according to the instructions of the data controller.

The detailed terms and conditions are specified in the Privacy Policy of Valoryn, PoliceScan, SynchronIA and Valoryn Académie.

PART 2 — SPECIAL CONDITIONS VALORYN ACADEMY

15. Presentation of Valoryn Académie

Valoryn Académie is an online training platform offering:

written training;
educational modules;
lessons accessible from a personal space;
examples and case studies;
tables, models and resources;
content relating to entrepreneurship, commerce, TCG, management and PoliceScan.

The precise content of each training course is presented on its sales page.

16. Ordering training

The customer selects the desired training or pack and checks before payment:

the title of the training;
its description;
its program;
its price;
any prerequisites;
the duration or period of access announced;
resources included;
the essential characteristics of the offer.

The order becomes final after:

cart validation;
acceptance of these General Conditions;
payment validation;
order confirmation.

A confirmation email can be sent to the address provided by the customer.

17. Training prices

Training prices are indicated in euros, all taxes included, unless otherwise indicated for a professional client.

The applicable price is that displayed at the time of the order.

A reduction or promotional offer:

only applies during its validity period;
cannot be required retroactively;
cannot be exchanged for money;
may be subject to conditions specified during its presentation.

18. Payment

Payment can be made by the means offered when ordering, in particular through WooCommerce, Stripe, PayPal or another service provider displayed.

The order may be refused or suspended in the event:

payment refused;
payment incident;
of suspected fraud;
incomplete or manifestly incorrect information;
of unauthorized use of a payment method.

Valoryn does not directly store full banking data when the payment is processed by a specialized service provider.

19. Access to training

Access is normally activated after payment confirmation.

The customer must use the email address associated with their order to access their account.

Unless otherwise indicated on the sales page, the purchase gives a right of access:

personal;
non-exclusive;
non-transferable;
non-assignable;
limited to the contents included in the order.

Purchasing the training opens personal access with no announced duration limit. No paid subscription or renewal is necessary to maintain access to purchased content. Developments in the service respect the acquired rights of buyers and the applicable legal guarantees.

20. Nature of training

Valoryn Académie training courses have an educational and informative purpose.

They do not constitute:

a personalized legal consultation;
a personalized tax consultation;
an accounting mission;
a business creation guarantee;
a turnover guarantee;
a promise of profitability;
a guarantee of obtaining financing;
a guarantee of commercial success.

The student remains responsible for his decisions, his activity and for verifying the rules applicable to his situation.

The contents can distinguish:

general rules;
good practices;
the methods to be validated by a professional;
feedback from Valoryn.

21. Progress and availability of content

The platform can record the student’s progress in the modules.

Valoryn can:

correct an error;
update a lesson;
modify presentation;
replace a document that has become obsolete;
add examples or resources;
change the organization of the modules.

An update must not remove the essence of training already purchased, unless legally, technically or security necessary.

22. Personal use and intellectual property

Training courses, texts, tables, models, captures, methods, illustrations, videos, files and resources are protected.

The student can consult the contents for their personal or internal professional use.

He is prohibited from:

to fully reproduce training;
to publish the content on the Internet;
to share your account;
to transmit the files to third parties;
to resell or sublicense training;
to automatically save or vacuum the platform;
to circumvent technical protections;
to use the content to create competing training;
to remove a watermark or identification notice.

Documents expressly presented as downloadable may be used by the student within the limits specified with the document.

23. Access protection and security controls

In order to limit fraudulent account sharing, Valoryn can proportionately control:

simultaneous connections;
the devices used;
unusual login attempts;
abnormal downloads;
automated behaviors;
overt sharing of credentials.

In the event of an anomaly, Valoryn may request verification or temporarily suspend access while a check is carried out.

24. Right of withdrawal and digital content

The consumer who concludes a distance contract has in principle fourteen days from its conclusion to exercise his right of withdrawal, without having to justify his decision. The exceptions and conditions provided for by the Consumer Code remain applicable.

For digital content supplied without material support, the loss of the right of withdrawal presupposes in particular the start of the supply after the express prior agreement of the consumer, his recognition of the loss of this right and the confirmation of these elements on a durable medium, under the legal conditions. Acceptance of the General Terms and Conditions alone or the existence of technical access to training do not replace these requirements. If the conditions for an exception are not met, the consumer’s rights remain applicable.

You can use the functionality “Withdraw from the contract”, accessible without signing in, or send a clear declaration to contact@valorynai.com or at Valoryn, Jordan Marchais EI, 3 rue de l’Hôtel-de-Ville, 17400 Saint-Jean-d’Angély. A declaration template and practical information are also available. The order number facilitates identification of the contract; no reason for withdrawal is required.

The online functionality allows the request to be verified before confirmation. A request does not automatically decide its eligibility and does not alone trigger a reimbursement. When a withdrawal is validly exercised, the reimbursement is made according to the legal conditions and deadlines, in principle no later than fourteen days after notification of the decision and by the same means of payment, unless expressly agreed otherwise without charge.

25. Reimbursement of training

Apart from the valid exercise of a legal right of withdrawal, no automatic reimbursement is due after access to the content, except in particular:

billing error;
double payment;
permanent impossibility of access attributable to Valoryn;
specific commercial commitment displayed when ordering;
mandatory legal provision.

Dissatisfaction linked to the level, the teaching method, the student’s available time or the absence of commercial results does not automatically constitute a reason for reimbursement.

PART 3 — COMMON PROVISIONS

26. Billing

An invoice or proof of payment is made available or sent to the customer depending on the payment method used.

The customer must provide accurate billing information.

In the event of a sale between professionals, late payment penalties and the legal fixed compensation for recovery costs may be applied. The fixed compensation applicable between professionals is 40 euros and must be mentioned in the General Terms and Conditions and the invoices concerned.

27. Renewal of subscriptions

PoliceScan subscriptions are automatically renewed at each expiry date, unless terminated or expressly non-renewable offer.

Renewal terms depend on the payment channel used.

Uninstalling the application or not using the service does not automatically result in termination.

28. Termination of a subscription

The user can cancel their subscription from:

the platform on which he subscribed;
its customer area when this function is available;
the channel indicated by Valoryn.

Termination takes effect at the end of the period already paid, unless otherwise provided by law or the payment platform.

No pro rata reimbursement is automatically made for a started period, except:

mandatory legal provision;
error attributable to Valoryn;
decision of the payment platform;
express commercial commitment.

29. Suspension of an account

Valoryn may temporarily or permanently suspend an account in the event of:

failure to pay;
fraud or attempted fraud;
abusive account sharing;
quota bypass;
unauthorized reproduction or distribution of content;
unauthorized automation;
security breach;
illegal use;
significant disruption of service;
failure to comply with these General Conditions.

When the situation allows, the user is informed of the reason and can contact support.

In the event of an emergency, fraud or security risk, suspension may be immediate.

30. Availability and maintenance

Valoryn implements reasonable means to ensure the availability of its services.

Interruptions may occur due to:

of maintenance;
of an update;
of a breakdown;
of a network incident;
of a cyber attack;
of a failure of a service provider;
of a modification imposed by a third-party platform;
of an event beyond the control of Valoryn.

No permanent or uninterrupted availability is guaranteed.

31. Liability of Valoryn

Valoryn is responsible for providing its services within the limits provided by law.

Valoryn cannot be held responsible for:

user input errors;
of a misinterpretation of educational content;
of a tax, legal, accounting or commercial decision taken without verification;
of an unverified erroneous result produced by artificial intelligence;
of unavailability of a third-party platform;
of the suspension of an ad by a marketplace;
of fraudulent access facilitated by the negligence of the user;
of an indirect loss or loss of opportunity within the limits permitted by law.

No clause can exclude liability which cannot legally be limited, particularly in the event of fraud, gross negligence or when a mandatory rule opposes it.

32. Intellectual property of Valoryn

Valoryn, PoliceScan, SynchronIA, Valoryn Académie, their names, logos, interfaces, codes, texts, graphics, bases, documents and contents are protected.

The purchase of a subscription or training does not transfer any intellectual property rights to the customer.

It only grants a personal right of use limited to the conditions of the purchased offer.

33. Personal data

The rules relating to the collection, use, retention and protection of data are presented on the single page:

Privacy policy of Valoryn, PoliceScan and Valoryn Académie.

34. Force majeure

Valoryn cannot be held responsible for a failure caused by an event beyond its reasonable control, in particular:

natural disaster;
general failure;
major cyber attack;
interruption of an essential service provider;
general network unavailability;
administrative decision;
event presenting the legal characteristics of force majeure.

35. Modification of the General Conditions

Valoryn may modify these General Conditions to take into account:

of a legal development;
of a technical evolution;
of a modification of the services;
new products or training;
of a change in future rates or quotas;
of a security requirement;
of a modification imposed by a service provider.

Significant changes affecting an ongoing service are communicated within a reasonable time frame when necessary.

The request must specify:

the identity of the client;
the email address of the account;
the service or order concerned;
the nature of the problem;
useful supporting documents.

37. Consumer mediation

In the event of difficulty, send a written complaint to contact@valorynai.com or at Valoryn, Jordan Marchais EI, 3 rue de l’Hôtel-de-Ville, 17400 Saint-Jean-d’Angély.

The consumer has the right to have free recourse to a consumer mediator after a prior complaint remains without a satisfactory solution. Valoryn’s membership in a mediation system is being finalized; no mediator can currently be presented as actually appointed. Its contact details and referral procedures will be published as soon as this membership takes effect. This ongoing process does not remove any legal rights from the consumer.

38. Applicable law and disputes

These General Conditions are subject to French law.

In the event of a dispute, the parties endeavor to find an amicable solution before any legal action.

For a consumer customer, the mandatory rules of territorial jurisdiction provided for by law remain applicable.

For a professional client, the dispute falls under the competent jurisdictions according to the applicable rules, unless there is a jurisdiction clause validly agreed between the parties.

39. SynchronIA — multi-store publishing and sync

SynchronIA is an application for preparing, publishing and managing articles on connected stores. Its development concerns eBay, WooCommerce and Shopify. The availability of each connection depends on the version offered, the platform authorizations and the subscribed offer. PrestaShop or any other platform not expressly announced as available is not included by default.

The functions include, depending on the version available: assisted identification from a scan, preparation of an item sheet, addition of sales photos, management of titles, descriptions, references, quantities and prices specific to the stores, publication and transmission of modifications to the selected platforms. The price of the physical store, when indicated, is distinct from the prices of online stores.

A publication validated in SynchronIA can result in an actual posting on the chosen stores. A modification or deletion can also be propagated depending on the selected action. The user must check the items, photos, prices, quantities and destinations before confirmation. He must have the rights to the content and the necessary authorizations on the connected accounts.

Synchronization depends on the platforms’ APIs, notifications and processing. A delay, error or unavailability may delay an update; a transmission does not guarantee its immediate acceptance by the platform. The user should monitor the results and error messages. These precautions do not remove Valoryn’s legal obligations.

The SynchronIA monthly plans are: Starter, €9.99 for 200 items; Pro, €19.99 for 450 items; Business, €39.99 for 1,000 items; Business+, €69.99 for 2,500 items. Prices, applicable taxes, billing dates, stores included or possible options and cancellation terms are presented before any subscription. No unlimited plan is announced by this grid. PoliceScan store prices and options do not automatically apply to SynchronIA.

In SynchronIA, a new item record corresponds to a line, even if its quantity is greater than one or if it is published in several stores. The reservation takes place before the first sending to the platforms. A publication error preserves the record and its count; take this same sheet again, do not count it again. Modifying an existing record or synchronizing a sale does not consume a new line. The currently planned monthly counter follows the calendar month, Europe/Paris zone, distinct from the billing date. Unused volumes are not carried over unless otherwise expressly announced.

When the renewal is canceled, the rights remain linked to the period actually paid until they expire, subject to the rules of the subscription channel. Deleting the application or account is not equivalent to canceling a subscription purchased from a store. The applicable terms and conditions must be accessible from the subscription channel and specified in the offer.

SynchronIA is available on Android via Google Play. Downloading the application and subscribing to a paid offer are separate operations. The specific conditions of the offer, the total price and the terms of renewal and termination are presented before any subscription. Subscription channel terms also apply where relevant. This update does not retroactively modify orders already concluded. Contact: contact@valorynai.com.

40. Legal guarantees for digital content and services

Information for consumers. Valoryn, The possible loss of the right of withdrawal does not cancel this guarantee.

For one-off supply, defects existing at the time of supply and appearing within two years are covered. For continuous supply, the warranty covers defects which appear during the entire contractual supply period. The duration of access promised in the offer determines this period; an educational duration expressed in hours is not an access duration.

The consumer can request compliance free of charge, without undue delay and without major inconvenience. Depending on the legal conditions, particularly in the event of impossibility, refusal, unjustified delay or sufficiently serious defect, he may obtain a reduction in the price or termination of the contract. The legal rules relating to proof, necessary updates and the suspension of the warranty period during unavailability for compliance apply.

Guarantees are not limited to billing errors or access difficulties. The exclusions of reimbursement, availability or liability in these conditions apply subject to these mandatory rights.
